Terms of Service

1. Agreement to Terms

By installing or using SignShield ("the Service"), operated by MerchantKits (SignShield International), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not install or use the Service.

2. Service Description

SignShield is an e-signature platform for Shopify merchants. It enables merchants to create document templates, collect legally binding electronic signatures from customers, generate PDF Certificates of Completion, and integrate signing workflows with Shopify orders — including automatic signing request triggers, order note updates, and metafield writes.

3. Eligibility

You must be a Shopify merchant with an active Shopify store to use SignShield. By using the Service, you represent that: (a) you have the authority to bind yourself or your business to these Terms; and (b) your use of the Service will comply with all applicable laws and regulations.

4. Account and Responsibilities

One SignShield account is associated with one Shopify store. You are responsible for all activity that occurs under your account. You must: keep your Shopify store and app access credentials secure; provide accurate information and keep it up to date; promptly notify us of any unauthorized access at support@merchantkits.com.

5. Acceptable Use

You may not use SignShield to:

• · Collect signatures on illegal documents, fraudulent contracts, or agreements that violate applicable law
• · Forge, falsify, or misrepresent signatures or signer identity
• · Send signing requests to individuals who have not consented to receive them or who are not parties to the relevant agreement
• · Use the Service in any manner that violates Shopify's terms of service or Partner Program requirements
• · Attempt to reverse-engineer, decompile, hack, or otherwise abuse the Service or its infrastructure
• · Use the Service to process documents involving minors without appropriate parental consent

We reserve the right to suspend or terminate accounts that violate these provisions.

6. Pricing and Billing

SignShield is available for $9.99 per month, billed through Shopify's app billing system. By subscribing, you agree to Shopify's billing terms in addition to these Terms. All prices are in USD. We may change our pricing with at least 30 days' prior notice by email.

7. Free Trial

A 14-day free trial is available when you first install SignShield. No credit card or payment information is required to start the trial. At the end of the trial period, a paid subscription is required to continue using the Service. If you do not subscribe, access to the Service will be suspended.

8. Intellectual Property

MerchantKits and its licensors own all rights, title, and interest in the SignShield platform, software, design, trademarks, and associated intellectual property. These Terms do not transfer any intellectual property rights to you.

You retain full ownership of all documents you upload to SignShield and all signed documents generated through the Service. By using the Service, you grant MerchantKits a limited license to process your documents solely to provide the Service.

9. Electronic Signatures and Legal Standing

Electronic signatures collected through SignShield are intended to be legally binding under the ESIGN Act (US), UETA, eIDAS (EU), and equivalent laws in most jurisdictions. However, the legal enforceability of any specific agreement depends on the laws of the relevant jurisdiction, the nature of the document, and the circumstances of signing.

You are solely responsible for ensuring that your documents and signing processes comply with all applicable laws and regulations in your jurisdiction. We recommend consulting a qualified attorney for questions about the enforceability of specific agreements.

10. Data and Privacy

Our collection, use, and protection of your data is described in our Privacy Policy. By using the Service, you agree to our Privacy Policy, which is incorporated into these Terms by reference.

11. Limitation of Liability

To the maximum extent permitted by applicable law, MerchantKits and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including but not limited to loss of profits, data, goodwill, or business — arising from or related to your use of SignShield.

Our total cumulative liability to you for any claim arising out of or related to the Service shall not exceed the total fees you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim.

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: the Service will be uninterrupted, error-free, or free of security vulnerabilities; that any documents signed through the Service will be legally enforceable in your jurisdiction; or that the Service will meet your specific requirements.

13. Termination

Either party may terminate these Terms at any time. You may terminate by uninstalling SignShield from your Shopify store. We may terminate or suspend your access immediately if you violate these Terms, engage in fraudulent activity, or if required by applicable law.

Upon termination, your right to use the Service ceases immediately. Your data will be retained for up to 30 days following termination, after which it will be deleted per our Privacy Policy. You may request data export before termination by contacting support@merchantkits.com.

14. Changes to Terms

We may update these Terms from time to time. We will notify you by email at least 14 days before material changes take effect. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of Sweden, without regard to conflict of law principles. Any disputes arising out of or related to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Sweden, except where mandatory consumer protection laws in your jurisdiction require otherwise.
